These Terms and Conditions ("Terms") govern your use of the GATA website at www.gata.africa and the GATA Member Portal ("Platform"). Please read them carefully. By accessing or using the Platform, you agree to be bound by these Terms.
1 Introduction
1.1 The Platform is operated by the Global Africa Trade Association ("GATA", "we", "us", "our"), a registered membership association based in Nairobi, Kenya.
1.2 These Terms apply to all visitors to the public website and to all registered Members using the Member Portal. Additional terms may apply to specific features or services made available through the Platform.
2 Acceptance of Terms
2.1 By accessing the Platform you confirm that you are authorised to act on behalf of your organisation, that your organisation holds (or is applying for) active GATA membership, and that you accept these Terms in full.
2.2 If you do not agree to these Terms, you must immediately cease using the Platform.
3 User Accounts
3.1 Access to the Member Portal requires registration and creation of a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 You must notify GATA immediately at support@gata.africa if you become aware of any unauthorised use of your account or any breach of security.
3.3 Portal access is for the use of the registered Member organisation and its authorised personnel only. You may not share login credentials or access with third parties.
3.4 GATA reserves the right to suspend or terminate accounts that are used in violation of these Terms or the Membership Agreement without prior notice.
4 Permitted Use
4.1 You may access and use the Platform solely for the following permitted purposes:
- Managing your GATA membership and profile;
- Accessing trade intelligence, reports, and resources available to your Membership Tier;
- Connecting with other GATA members through the Member Directory;
- Registering for and attending GATA events;
- Submitting feedback and enquiries to GATA;
- Paying membership fees and accessing invoices.
5 Prohibited Activities
5.1 You must not use the Platform for any of the following activities:
- Distributing unsolicited commercial messages (spam) to other Members;
- Uploading, transmitting, or sharing malicious software, viruses, or harmful code;
- Attempting to gain unauthorised access to restricted areas of the Platform or to other Members' accounts;
- Scraping, extracting, or systematically downloading Member Directory data for competitive or commercial purposes;
- Misrepresenting your identity, your organisation's details, or your membership status;
- Using the Platform in any manner that violates applicable law, including data protection, intellectual property, or sanctions law;
- Conducting or facilitating any form of bribery, fraud, money laundering, or other financial crime;
- Disparaging, defaming, or harassing GATA, its officers, or other Members;
- Reverse-engineering, decompiling, or disassembling any part of the Platform.
6 Intellectual Property
6.1 All content on the Platform, including but not limited to text, data, reports, graphics, logos, user interface design, and software, is the property of GATA or its licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2 Members are granted a limited, revocable, non-exclusive, non-transferable licence to access and download Platform content solely for internal business use. This licence does not permit reproduction, redistribution, public display, or creation of derivative works.
6.3 The GATA name, logo, and brand marks may not be used without express prior written consent from GATA.
7 Third-Party Links and Content
7.1 The Platform may contain links to third-party websites or services. These are provided for convenience only. GATA has no control over and accepts no responsibility for the content, privacy practices, or reliability of any linked third-party site.
7.2 The inclusion of a link does not constitute an endorsement, recommendation, or warranty by GATA of the linked site or service.
8 Platform Availability and Accuracy
8.1 GATA will endeavour to maintain Platform availability but does not guarantee uninterrupted or error-free service. Scheduled and emergency maintenance may temporarily interrupt access. GATA will provide advance notice of scheduled downtime where practicable.
8.2 Information on the Platform is updated regularly but may not always reflect the most current trade data or regulatory positions. GATA accepts no liability for decisions made on the basis of Platform content without independent verification.
9 Disclaimers
9.1 The Platform and all content are provided on an "as is" and "as available" basis. GATA makes no representations or warranties of any kind, express or implied, regarding the Platform, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 GATA does not warrant that the Platform is free from errors, viruses, or other harmful components, or that defects will be corrected.
10 Limitation of Liability
10.1 To the fullest extent permitted by applicable law, GATA shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Platform, even if GATA has been advised of the possibility of such damages.
10.2 GATA's total cumulative liability to you arising out of these Terms or your use of the Platform shall not exceed the total Subscription Fees paid by your organisation in the twelve (12) months preceding the event giving rise to the claim.
11 Indemnification
11.1 You agree to indemnify, defend, and hold harmless GATA and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Platform in breach of these Terms or applicable law.
12 Termination of Access
12.1 GATA may suspend or terminate your Platform access at any time for breach of these Terms, breach of the Membership Agreement, or any other reason GATA reasonably considers to be in the interest of the GATA community.
12.2 Termination of access does not relieve you of any obligations under the Membership Agreement or these Terms that arose prior to termination.
13 Changes to Terms
13.1 GATA reserves the right to update these Terms at any time. Material changes will be communicated to Members by email and notified via the Member Portal with at least thirty (30) days' notice. Your continued use of the Platform following the notice period constitutes acceptance of the revised Terms.
